Will this attach to the underside of the drivers seat ? 2000 Heritage Classic

Yes, the fender skin is designed to go under the rider's seat. The bib also comes with a leather punch to make the necessary holes in order to attach under the seat. You'll be able to lay it out perfectly, measure where you need to punch the holes in the leather for a perfect fit to your bike.
Will it have two 5/16 holes to mount on own seat?

Without knowing exactly what bike you're going to install the fender bib on, I can't say for sure what size those holes might be. They're designed to fit perfect with the OEM-sized mounting holes and everything you need is included to make for a clean installation. Some kits even include a metal punch so you can cut the forward hole(s) exactly where it/they need to be in order to fit the bib tightly against the rear fender.
